PARTICIPANT AGREEMENT


This Yoga Retreat Terms & Conditions, Waiver & Release, and Photo Release ("Agreement") is entered into as of September 1, 2026, or the date upon which the Client electronically signs, submits, or otherwise accepts this Agreement (the "Effective Date").

The retreat described herein (the "Retreat") shall take place from April 17 through April 23, 2027 WITA (UTC +8), with a five (6)-day programmed retreat experience and six (6) nights of accommodations, at F6FR+76Q, Jl. Raya Demayu, Singakerta, Kecamatan Ubud, Kabupaten Gianyar, Bali 80571, Indonesia, and at such additional locations as may be designated by the Organizer in connection with programmed Retreat activities and excursions.

Parties


Organizer: Elise Gee and Daisey Miller, collectively referred to herein as the "Organizer."


and


Client: The individual identified in and submitting this Agreement and Retreat registration, hereafter referred to as the "Client."


The Organizer and Client may each be referred to herein individually as a "Party" and collectively as the "Parties."


1. PURPOSE AND SCOPE OF AGREEMENT

1.1 Purpose

  • The purpose of this Agreement is to establish the terms and conditions governing the Client's participation in the Bali 2027 Yoga Retreat, including payment obligations, cancellation policies, travel responsibilities, health and wellness responsibilities, assumption of risk, waiver and release, code of conduct, accommodations, dietary considerations, and media consent.
  • The Retreat itinerary and general description are available through the Organizer's website and registration materials.

1.2 Retreat Duration

  • The Retreat program consists of five (5) programmed days and six (6) nights of accommodations, beginning April 17, 2027 and concluding April 23, 2027.
  • The Organizer reserves the right to modify the itinerary, sequence, timing, location, or specific activities comprising the Retreat as reasonably necessary due to weather, safety concerns, local conditions, availability, governmental restrictions, or circumstances beyond the Organizer's reasonable control.

1.3 Retreat Cost

  • The total Retreat fee applicable to the Client shall be the price stated on the Organizer's website, registration materials, invoice, or other written confirmation provided to the Client.
  • If the Client registers for double-occupancy accommodations and does not have a designated roommate, the Organizer shall use reasonable efforts to assign or match the Client with another Retreat guest. The Organizer does not guarantee a particular roommate or roommate assignment.
  • By submitting a reservation and required deposit, the Client acknowledges and agrees to the applicable Retreat fee and all payment obligations set forth herein.

1.4 Retreat Includes

Subject to the terms of this Agreement, the Retreat fee includes:

  • Six (6) nights of accommodations;
  • Six (6) breakfasts;
  • Six (6) dinners;
  • Yoga and movement classes;
  • Meditation and breathwork;
  • Organizer facilitation and guidance throughout the Retreat;
  • Entrance fees and admission costs associated with programmed excursions and activities expressly identified as included in the Retreat itinerary.

1.5 Retreat Exclusions

Unless expressly identified as included in the Retreat itinerary, the Retreat fee does not include:

  • Roundtrip airfare to or from Gusti Ngurah Rai International Airport (Denpasar International Airport, DPS);
  • Airport transfers;
  • Food, beverages, or meals other than those expressly identified as included;
  • Non-programmed excursions or transportation;
  • Optional or add-on activities, ceremonies, treatments, or services;
  • Spa treatments, massages, and gratuities;
  • Alcoholic beverages or bottled beverages;
  • Shopping, souvenirs, or personal purchases;
  • Travel, medical, or trip-cancellation insurance.

Any and all expenses not expressly identified as included herein shall be the sole responsibility of the Client.


2. PAYMENT TERMS

2.1 Payment Methods

  • The Client may make payments by cash, Venmo, Zelle or bank transfer, credit card through Square, or another payment method expressly approved by the Organizer.
  • A 3.5% service fee shall apply to all credit card payments.

2.2 Deposit

  • A non-refundable deposit of $725.00 USD shall be required to secure and confirm the Client's reservation.
  • The deposit shall be credited toward the Client's total Retreat fee but shall not be refundable except as expressly provided herein or as otherwise required by applicable law.

2.3 Installment Payments

  • Following payment of the deposit, the remaining balance shall be payable in two (2) installments:
  • Second Installment: December January 17, 2027
  • Final Installment: March 3, 2027
  • The second payment date of January 17, 2027 is ninety (90) days prior to the Retreat start date of April 17, 2027.
  • The final payment date of March 3, 2027 is forty-five (45) days prior to the Retreat start date of April 17, 2027.
  • All payments are non-refundable except as expressly provided herein or as otherwise required by applicable law.

2.4 Early-Bird Pricing

  • The Early-Bird Rate shall be available only to Clients whose reservation has been confirmed and whose required deposit has been received by the Organizer on or before November 1, 2026.
  • Effective November 2, 2026, the Early-Bird Rate shall expire automatically, and all subsequent reservations shall be subject to the applicable Standard Pricing.

Early-Bird Pricing (per person):

  • Double Occupancy Room – Twin Bed: USD $1,900
  • Single Occupancy Room – King Bed: USD  $2,700
  • Double Occupancy Room – King Bed (shared bed): USD $1,900

Standard Pricing (per person):

  • Double Occupancy Room – Twin Bed: USD $2,100
  • Single Occupancy Room – King Bed: USD $2,900
  • Double Occupancy Room – King Bed (shared bed): USD $2,100

2.5 Binding Effect of Reservation

  • Upon submission of the reservation and receipt of the applicable deposit, the Client shall be deemed to have accepted the Retreat price applicable on the date the deposit is received and shall be bound by the terms of this Agreement.
  • Retreat pricing shall be non-negotiable unless otherwise agreed to in writing by the Organizer.

2.6 Cash Payment Discount

  • A $50.00 USD discount shall apply only if the Client pays the entire Retreat balance in cash in U.S. dollars.
  • The discount shall not apply to partial cash payments, mixed-method payments, or balances paid using any other payment method.
  • This discount is available only to residents of the Sacramento, California region.
  • The discount is applied to the last and final installment.

2.7 Late Payments

  • The Organizer is required to make advance payments to accommodations, vendors, transportation providers, guides, and other service providers. Accordingly, the Organizer requires all Client balances to be paid in full no later than March 3, 2027.
  • If the Client fails to pay the outstanding balance by the applicable final payment deadline, the Organizer may assess a $250.00 USD late payment fee.
  • If the Client fails to bring the account current within seven (7) calendar days following the final payment deadline, the Organizer may, in its sole discretion, cancel or terminate the Client's reservation. In such event, all amounts previously paid shall be forfeited and retained by the Organizer, except as otherwise required by applicable law.
  • Client is strongly encouraged to purchase travel insurance with “cancel for any reason” coverage.


3. CANCELLATION AND REFUND POLICY

3.1 Client Cancellation

  • Except as otherwise expressly provided herein or required by applicable law, all Client payments, including the deposit and subsequent installment payments, are non-refundable.
  • The Client acknowledges that the Organizer makes non-refundable financial commitments to accommodations, vendors, transportation providers, guides, and other service providers based upon the Client's reservation.
  • The Client is therefore strongly encouraged to purchase comprehensive travel insurance, including Cancel for Any Reason ("CFAR") coverage where available, to protect the Client's financial investment.

3.2 Transfer of Reservation

  • If the Client is unable to attend the Retreat for any reason, the Client may request to transfer the reservation to a replacement participant only after the Retreat has reached full enrollment, subject to the Organizer's prior written approval.
  • The replacement participant must be approved by the Organizer and must complete all required registration documents and agree in writing to be bound by the terms and conditions of this Agreement.
  • Any transfer must be arranged and approved by the Organizer no later than March 3, 2027. The Organizer reserves the right to deny a proposed replacement participant for reasonable grounds, including safety, accommodation, dietary, logistical, or other Retreat-related considerations.
  • The Client's $725.00 deposit is non-refundable and shall not be returned to the Client under any circumstance, including in connection with an approved transfer of the Client's reservation. Any remaining amount paid by the Client may be eligible for transfer to the replacement participant, subject to the Organizer's approval and any applicable difference in Retreat pricing, fees, or costs.
  • Any costs or expenses associated with transferring the reservation shall be the sole responsibility of the Client.

3.3 No Refunds for Missed Participation

No refund, credit, reimbursement, or price adjustment shall be provided for:

  • Late arrival;
  • Early departure;
  • Missed activities;
  • Voluntary non-participation;
  • Declined transportation;
  • Flight delays or cancellations;
  • Missed connections;
  • Lost luggage;
  • Illness;
  • Injury;
  • Personal emergencies;
  • Changes in travel plans; or
  • Any other circumstance preventing the Client from participating in all or part of the Retreat.

3.4 Organizer Cancellation

  • If the Organizer determines that the Retreat must be cancelled, postponed, relocated, or materially modified due to circumstances beyond the Organizer's reasonable control, including but not limited to low enrollment, acts of God, severe weather, natural disaster, war, terrorism, political instability, civil unrest, governmental action, government orders or restrictions, health emergencies, pandemics, epidemics, strikes, transportation disruptions, shortages, supplier or facility failures, or other force majeure circumstances, the Organizer's obligations shall be limited to the extent required by applicable law and subject to amounts actually recoverable from third-party vendors and service providers.
  • The Organizer shall not be responsible for consequential, incidental, special, or indirect losses or expenses incurred by the Client, including airfare, visa fees, travel insurance premiums, additional lodging, meals, transportation, excursions, or other personal expenses.
  • The Organizer reserves the right to modify, substitute, reschedule, or cancel individual activities or excursions due to weather, safety, availability, local conditions, or circumstances beyond the Organizer's reasonable control.


4. TRAVEL, DOCUMENTATION & INSURANCE

  • The Client shall be solely responsible for arranging and paying for all transportation to and from the Retreat location outside of programmed excursions and activities.
  • Client passport must be valid for at least six months beyond your arrival date and have at least two blank pages for stamps.
  • Client must have a confirmed ticket for a flight leaving Indonesia before your visa expires.
  • Client is responsible for purchasing and obtaining a tourist visa online (e-VoA) before their trip or Visa on Arrival (VoA) upon entry.
  • Client must complete the All Indonesia Declaration seventy two hours (three days) prior to arrival.Client is responsible for paying the Bali Tourist Levy, a mandatory fee for all international visitors to Bali.
  • The Client is strongly encouraged to obtain comprehensive travel insurance, including coverage for trip cancellation, trip interruption, medical expenses, emergency evacuation, baggage loss, and Cancel for Any Reason ("CFAR") coverage where available. Client further acknowledges that such insurance is the only available recourse for any refund or financial recovery.
  • The Organizer shall not be liable for flight delays, cancellations, missed connections, airline schedule changes, lost or delayed baggage, immigration issues, denied entry, visa issues, or other transportation or travel disruptions.


5. HEALTH & WELLNESS RESPONSIBILITY

  • The Client represents and warrants that, to the best of the Client's knowledge, the Client is physically and mentally capable of participating in the Retreat activities.
  • The Client acknowledges that participation in yoga, movement, meditation, breathwork, excursions, hiking, swimming, water-related activities, ceremonies, and other Retreat activities is voluntary and involves inherent risks.
  • The Client agrees to participate within the Client's own physical limitations and to discontinue participation in any activity if the Client experiences pain, discomfort, dizziness, shortness of breath, or other concerning symptoms.
  • The Client shall promptly disclose to the Organizer any medical condition, injury, allergy, dietary restriction, physical limitation, or other circumstance that may reasonably affect the Client's participation or safety.
  • The Client understands that the Organizer is not providing medical advice, medical treatment, diagnosis, or medical supervision.
  • The Client is solely responsible for obtaining appropriate medical advice regarding the Client's ability to participate in Retreat activities.
  • Client assumes full responsibility for any personal injury, illness, death, or damage to personal property.


6. ASSUMPTION OF RISK, WAIVER & RELEASE OF LIABILITY

  • 6.1 Assumption of Risk
  • The Client expressly acknowledges and understands that participation in the Retreat involves inherent and foreseeable risks, including but not limited to physical injury, illness, allergic reaction, falls, slips, drowning, water-related incidents, hiking-related injuries, transportation accidents, exposure to weather and environmental conditions, food-related illness, communicable disease, interactions with animals, and other risks associated with travel and participation in recreational, wellness, cultural, and physical activities.
  • The Client voluntarily assumes all such risks to the fullest extent permitted by applicable law.


6.2 Release

  • Client hereby releases and discharges the Organizer and the Organizer's employees, contractors, guides, instructors, representatives, agents, affiliates, and service providers (collectively, the "Released Parties") from claims, demands, causes of action, liabilities, damages, losses, and expenses arising out of or relating to the Client's participation in the Retreat, except to the extent such release is prohibited by applicable law or arises from conduct that cannot lawfully be released or waived.
  • Nothing in this Agreement shall be construed as an attempt to waive or release any claim or right that cannot legally be waived or released under California law.


6.3 Personal Property

  • The Organizer shall not be responsible for the loss, theft, damage, or destruction of the Client's personal property, except to the extent liability is imposed by applicable law.


7. CODE OF CONDUCT

The Client agrees to:

  • Conduct themselves respectfully toward the Organizer, fellow guests, staff, local residents, guides, vendors, and service providers;
  • Respect Balinese customs, traditions, religious practices, cultural norms, and local laws;
  • Refrain from illegal drugs, unlawful conduct, threatening behavior, harassment, discrimination, violence, or materially disruptive conduct;
  • Follow reasonable safety instructions provided by the Organizer, guides, accommodation providers, transportation providers, and activity leaders;
  • Comply with Retreat schedules and reasonable Retreat policies.
  • The Organizer reserves the right to remove or dismiss a Client whose conduct, in the Organizer's reasonable judgment, creates a safety concern, violates applicable law, materially disrupts the Retreat, or materially interferes with the rights or enjoyment of other guests.
  • In the event of dismissal for cause, the Client shall not be entitled to a refund, except as otherwise required by applicable law.


8. ACCOMMODATIONS & ROOM SHARING

  • The Organizer shall make reasonable efforts to honor the Client's accommodation preference; however, specific room assignments are not guaranteed.
  • If the Client selects shared accommodations, the Client acknowledges and agrees that the Client may be assigned to share a room with another Retreat guest.
  • If Client chooses shared accommodation, client agrees to share a room respectfully with another participant.
  • The Organizer shall not be responsible for roommate incompatibility, personal preferences, or dissatisfaction relating to room assignments, provided that the Organizer has otherwise complied with the agreed accommodation arrangement.


9. DIETARY REQUIREMENTS & ALLERGIES

  • The Organizer shall make reasonable efforts to communicate dietary requirements to the accommodation and food-service providers when such requirements are disclosed in advance.
  • The Organizer does not warrant or guarantee an allergen-free environment or the complete absence of cross-contamination.
  • The Client shall disclose all known food allergies, dietary restrictions, and relevant medical conditions on the Retreat registration form and shall personally communicate any serious allergies or dietary concerns to the appropriate food-service provider.


10. PHOTOGRAPHY, VIDEO & MEDIA RELEASE

The Client hereby grants the Organizer a non-exclusive, royalty-free, worldwide right and permission to photograph, record, reproduce, edit, publish, display, distribute, and otherwise use the Client's name, likeness, image, voice, or appearance captured during the Retreat for legitimate business, promotional, marketing, educational, social media, website, advertising, and other Retreat-related purposes in any media now known or later developed.

The Client acknowledges and agrees that:

  1. The Organizer shall have no obligation to compensate the Client for such use;
  2. The Organizer may edit, crop, reproduce, or combine such materials with other content;
  3. The Client shall have no ownership interest in materials created by the Organizer; and
  4. The Client may revoke this consent prospectively by providing written notice to the Organizer prior to the commencement of the Retreat.

Revocation shall not require the Organizer to recall, remove, or destroy materials that were lawfully created or published prior to receipt of the revocation.


11. GOVERNING LAW & VENUE

  • This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-laws principles.
  • To the extent permitted by applicable law, any action, proceeding, or dispute arising out of or relating to this Agreement or the Client's participation in the Retreat shall be brought in a court of competent jurisdiction located in the State of California.
  • The Parties expressly consent to the jurisdiction of such courts to the extent permitted by applicable law.


12. GOOD FAITH

  • Each Party represents and warrants that such Party has entered into this Agreement voluntarily and in good faith.
  • Each Party agrees to perform its respective obligations hereunder in good faith and in accordance with the terms and conditions of this Agreement.


13. SEVERABILITY

  • If any provision of this Agreement is determined by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, such provision shall be modified or limited to the minimum extent necessary to make it enforceable, if permitted by law.
  • If modification is not permitted, the invalid or unenforceable provision shall be severed, and the remaining provisions of this Agreement shall remain in full force and effect.


14. ENTIRE AGREEMENT

  • This Agreement, together with the Client's Retreat registration materials, payment records, and any written documents expressly incorporated herein, constitutes the entire agreement between the Parties concerning the subject matter hereof and supersedes all prior oral or written representations, understandings, or agreements concerning the same subject matter.
  • No amendment, modification, or waiver of any provision of this Agreement shall be effective unless made in writing and accepted by the Parties, except that the Organizer may make reasonable itinerary or activity modifications as expressly permitted herein.


15. ELECTRONIC SIGNATURE & ACCEPTANCE

By signing or electronically submitting this Agreement, the Client acknowledges and represents that:

  1. The Client has read this Agreement in its entirety;
  2. The Client understands the terms and conditions contained herein;
  3. The Client has had the opportunity to ask questions regarding the Retreat and this Agreement;
  4. The Client voluntarily agrees to be bound by this Agreement;
  5. The Client understands the payment and cancellation policies;
  6. The Client understands and voluntarily assumes the risks associated with participation in the Retreat; and
  7. The Client understands the terms of the waiver and release of liability to the fullest extent permitted by applicable law.


Electronic Acceptance: The Client's completion and submission of the Organizer's online registration form, including the Client's selection of any required checkbox expressly stating that the Client has read, understands, and agrees to this Agreement, shall constitute the Client's electronic signature and affirmative electronic acceptance of this Agreement. The Client agrees that such electronic action is intended to authenticate the Client's identity and demonstrate the Client's intent to be legally bound by the terms of this Agreement.

The Client acknowledges that checking the applicable agreement checkbox and submitting the online registration form constitutes the legal equivalent of the Client's handwritten signature and shall have the same force and effect as an original signature, to the fullest extent permitted by applicable federal and California law, including the California Uniform Electronic Transactions Act (Cal. Civ. Code § 1633.7 et seq.) and the federal Electronic Signatures in Global and National Commerce Act (15 U.S.C. § 7001 et seq.).

The Client further consents to conducting this transaction electronically and agrees that electronic records of the Client's registration, checkbox selection, submission, payment, and other electronically recorded actions may be retained and used as evidence of the Client's agreement and acceptance.

The Client's electronic acceptance shall be effective as of the date the Client completes and submits the online registration form, which shall constitute the Client's Effective Date for purposes of this Agreement.
